Hexicons styrelse avvisar villkorat bud

Styrelsen i Hexicon har valt att avisa ett bud pÄ bolaget frÄn en europeisk aktör. Budet som var villkorat styrelsens rekommendation lÄg pÄ 1,5 kronor per aktie, motsvarande ett vÀrde om 545 MSEK pÄ hela bolaget. Budets nivÄ, i kombination med andra specifika villkor avseende kommande milstolpar, anser styrelsen inte motsvarar vÀrdet pÄ bolagets projektportfölj enligt genomförda externa vÀrderingar.

"Vi Ă€r inne i ett intensivt skede i vĂ„rt strategiska arbete dĂ€r avyttringar, nyinvesteringar och strukturaffĂ€rer kan bli aktuellt i nĂ€rtid. I transparensens tecken anser vi att det Ă€r vĂ„r skyldighet att aktiemarknaden i det hĂ€r fallet fĂ„r ta del av inkommande bud. Att styrelsen nu valt att avisa ett inkommande bud med avsevĂ€rd premie i förhĂ„llande till rĂ„dande aktiekurs har varit ett svĂ„rt, men i vĂ„r mening, ansvarsfullt beslut. Utöver de Hexicon-analyser som producerats av aktörer pĂ„ aktiemarknaden har bolaget det senaste Ă„ret Ă€ven gett i uppdrag till externa vĂ€rderingsinstitut, sĂ„som PwC och SNOW B.V, att vĂ€rdera bolagets projektportfölj. Resultaten av dessa vĂ€rderingar har visat pĂ„ betydande vĂ€rden som enligt Hexicons styrelse inte fullt ut speglas i det bud som styrelsen erhĂ„llit och som nu alltsĂ„ avvisats. Hexicon har under flera Ă„r byggt upp en stark portfölj som idag Ă€r vĂ€lbalanserad avseende sĂ„vĂ€l geografi som mognad”, sĂ€ger Hexicons styrelseordförande Hans von Uthmann i en kommentar.

Hexicon’s board rejects conditional bid

The board of Hexicon has chosen to reject a bid on the company from an European actor. The bid, which was conditional of the board's recommendation, was set at SEK 1.5 per share, corresponding to a value of SEK 545 million for the entire company. The board considers that the level of the bid, in combination with other specific conditions regarding upcoming milestones, does not match the value of the company's project portfolio according to conducted external valuations.

"We are in an intense phase of our strategic work where divestments, new investments, and structural deals may become relevant in the near future. In the spirit of transparency, we believe it is our duty to share incoming bids with the stock market. The board's decision to reject an incoming bid with a significant premium relative to the current share price has been a difficult but, in our opinion, responsible decision. In addition to the Hexicon equity research produced by market actors, the company has also commissioned external valuation institutes such as PwC and SNOW B.V to assess the company's project portfolio. The results of these valuations have shown significant values that, according to Hexicon's board, are not fully reflected in the bid received by the board and thus have been rejected. Hexicon has built a strong portfolio over the years, which is now well-balanced in terms of both geography and maturity", said Hexicon's Chairman of the Board, Hans von Uthmann, in a statement.

Hexicon ingÄr avtal om kreditfacilitet

Hexicon AB (”Bolaget” eller ”Hexicon”) ingĂ„r avtal om en kreditfacilitet om upp till 75 MSEK, som kan utnyttjas vid behov och med utbetalningar om 10 MSEK Ă„t gĂ„ngen. Största finansiĂ€r Ă€r Wallstreet Aktiebolag, en del av Walleniusgruppen, och ett mindre antal privata investerare ("Kreditfaciliteten”). Kreditfaciliteteten avser att tĂ€cka Hexicons rörelsekapitalbehov och ge Bolaget möjlighet att avyttra projekt vid optimal tidpunkt med bĂ€sta möjliga villkor. Med faciliteten sĂ€kras bolagets likviditet det nĂ€rmaste Ă„ret fram till sommaren 2024.

Kreditfaciliteten kommer frÀmst anvÀndas för att stÀrka Bolagets rörelsekapital och möjliggör för Hexicon att fortsÀtta utveckla sin projektportfölj. I maj 2023 slöt Hexicon ett lÄngsiktigt finansieringsavtal om upp till 45 miljoner euro med Glennmont Partners, en av Europas största fondförvaltare som fokuserar pÄ investeringar i infrastruktur för ren energi, för finansiering av bolagets projektportfölj. Tillsammans stÀrker dessa tvÄ komplementÀra finansieringsavtal Hexicons möjligheter till att förverkliga bolagets tillvÀxtpotential och realisering av vÀrden i bolagets projektportfölj.

Kreditfaciliteten
Totalt uppgÄr Kreditfaciliteten till 75 MSEK varav drygt hÀlften finansieras av Wallstreet Aktiebolag och resterande del av ett antal privata investerare. Hexicon har möjlighet att under en tolvmÄnadersperiod vid behov nyttja krediten, dÀr minsta uttag Àr pÄ 10 MSEK. Fram till dess Bolagets utestÄende konvertibellÄn Àr Äterbetalade i sin helhet kan högst 10 MSEK av Kreditfaciliteten utnyttjas.

Kreditfaciliteten ingĂ„s till marknadsmĂ€ssiga villkor. Återbetalning av lĂ„net tillsammans med upplupen rĂ€nta ska ske senast den 12 juli 2024. Hexicon har möjlighet att, vid valfri tidpunkt, helt eller delvis genomföra förtida Ă„terbetalning av utnyttjad kredit och i anslutning dĂ€rtill sĂ€ga upp Kreditfaciliteten.

Som sĂ€kerhet för Kreditfacilteten har Hexicon, genom sitt helĂ€gda dotterbolag Freia Offshore AB (”Freia Offshore”), pantsatt samtliga svenska patent som Ă€gs av Freia Offshore, inklusive alla rĂ€ttigheter hĂ€nförliga dĂ€rtill, till lĂ„ngivarna.

Pareto Securities har varit finansiella rÄdgivare i transaktionen och Setterwalls AdvokatbyrÄ har agerat legal rÄdgivare.

Hexicon enters agreement for a credit facility

Hexicon AB ("the Company" or "Hexicon") has entered into an agreement for a credit facility of up to SEK 75 million, which can be utilized as needed, with disbursements of SEK 10 million at a time. The main financier is Wallstreet Aktiebolag, a company within the Wallenius Group, along with a few private investors ("the Credit Facility"). The Credit Facility is intended to cover Hexicon's working capital needs and enable the Company to divest projects at the best possible time and terms. With the facility the Company's liquidity is secured the coming year up until the summer 2024.

The Credit Facility will primarily be used to strengthen the Company's working capital and enable Hexicon to continue developing its project portfolio. In May 2023, Hexicon entered into a long-term financing agreement of up to EUR 45 million with Glennmont Partners, one of Europe's largest infrastructure-focused fund managers for clean energy investments, to finance the Company's project portfolio. Together, these two complementary financing agreements enhance Hexicon's opportunities to execute its growth strategy and divestment plan. The Credit Facility
The total amount of the Credit Facility is SEK 75 million, with over half of the financing provided by Wallstreet Aktiebolag and the remaining portion by a number of private investors. Hexicon has the option to utilize the credit within a twelve-month period, with a minimum withdrawal of SEK 10 million. Until the Company's outstanding convertible loans are fully repaid, a maximum of SEK 10 million of the Credit Facility can be utilized.

The credit facility is concluded at market terms. Repayment of the loan, along with accrued interest, is due no later than July 12, 2024. Hexicon has the option to make early repayments of the utilized credit, in whole or in part, at any time and subsequently terminate the Credit Facility.

As security for the Credit Facility, Hexicon, through its wholly-owned subsidiary Freia Offshore AB ("Freia Offshore"), has pledged all Swedish patents owned by Freia Offshore, including all related rights, to the lenders.

Pareto Securities has acted as the financial advisor in the transaction, and Setterwalls AdvokatbyrÄ has acted as legal advisor.

Hexicons joint venture Freja Offshore lÀmnar in ansökan för den 2 GW stora havsbaserade vindkraftparken Cirrus i Sverige

Cirrus planeras att bli en havsbaserad vindkraftspark med bottenfasta turbiner men Freja Offshore kommer Àven att undersöka möjligheten att anvÀnda flytande vindkraftverk för de djupaste sektionerna. Den havsbaserade vindkraftsparken kommer oavsett ligga bortom horisonten och knappt vara synlig under klara vÀderförhÄllanden eftersom den kommer att ligga 50 kilometer utanför kustlinjen.

Ansökan avser uppförande och drift av vindkraftsparken Cirrus i enlighet med lagen om Sveriges ekonomiska zon (SEZ) och etablering av det interna kabelnÀtet enligt kontinentalsockellagen. Hexicon’s joint venture Freja Offshore submits application for the 2 GW Cirrus Offshore Wind Farm in Sweden

Hexicon, a project-developer and technology provider within the floating wind industry, is proud to announce that the joint venture with Mainstream Renewable Power, Freja Offshore, has submitted an application for an offshore wind farm in the Baltic Sea named Cirrus off the south coast of Sweden. With its potential to deliver 10 TWh annually, Cirrus can provide renewable and cost-effective energy to over 2 million households annually, or the equivalent of half a million single-family Swedish homes.

The location for Cirrus has been carefully selected based on the relevance of energy demands and has been meticulously designed to minimize any disturbances and seamlessly coexist with other vital societal concerns, particularly addressing the needs of other users of the sea such as the Swedish Armed Forces. Considering the expected substantial surge in electricity demand in Sweden, specifically in the southern region, the wind farm will play a crucial role in effectively meeting the growing need for electricity. By boosting renewable energy production, Cirrus can reduce energy costs, generate more employment opportunities, and foster economic prosperity in the region.

Cirrus is planned to be an offshore windfarm with bottom-fixed turbines, but Freja Offshore will also investigate the potential use of floating wind turbines for the deepest sections. The offshore wind farm will however still be beyond the horizon and just barely visible during clear weather conditions as it will be situated 50 kilometers off the coastline.

The application concerns the construction and operation of the Cirrus wind farm in accordance with the Law on Sweden's Economic Zone (SEZ) and the establishment of the internal cable network under the Continental Shelf Act. The application is being submitted to the Swedish Ministry of Climate and Business. The Swedish government will now prepare the application and solicit input from several authorities in a referral process. Hexicon looks forward to following this process and continues to support Freja Offshore in its efforts to develop, construct, and operate floating wind parks in Sweden.
